Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Freefall Marketplace LLC doing business as Freefall Marketplace (“Freefall Marketplace,” “we,” “us”). By creating an account, accepting these Terms, or using the site (the “Service”), you agree to these Terms and our Privacy Policy. If you don't agree, don't use the Service.

1. What Freefall Marketplace is

Freefall Marketplace is an online marketplace that connects buyers and sellers of skydiving equipment, holds payments in escrow, generates shipping labels, and administers a dispute process. Freefall Marketplace is not a party to any sale. The sale contract is solely between buyer and seller. We do not own, take possession of, inspect, test, repack, repair, certify, or guarantee any item, and we are not a dealer, broker, rigger, or agent of any user.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You agree to provide accurate information, keep your credentials secure, and are responsible for all activity under your account. We may refuse, suspend, or terminate accounts at our discretion.

3. Gear safety, “as-is” sale, assumption of risk, and release

Read this section carefully. Skydiving is inherently dangerous and can result in serious injury or death. Skydiving equipment is life-safety equipment.

All gear is sold “AS IS”based on the seller's description. Freefall Marketplace makes no representation or warranty about the condition, airworthiness, age, history, legality, or fitness of any item.

You are solely responsible for the airworthiness of any equipment you buy. Before using it, have it inspected — and any reserve repacked — by an appropriately FAA-certificated parachute rigger. Do not rely on a listing, photos, jump numbers, repack dates, or any badge or rating as a substitute for your own rigger's inspection.

Assumption of risk and release. You knowingly assume all risks of purchasing, inspecting, owning, and using skydiving equipment obtained through the Service. To the maximum extent permitted by law, you release and waive any claim against Freefall Marketplace, Freefall Marketplace LLC, and its owners, officers, and affiliates for any injury, death, property damage, or other loss arising from equipment bought or sold through the Service or your use of the Service.

4. Seller obligations

If you list an item you represent that you own it and may lawfully sell it; that your description is accurate and complete (including known damage, repairs, modifications, age, jump or deployment counts, and reserve/AAD service history); that it is not stolen, counterfeit, or subject to an undisclosed recall or service bulletin; and that the sale complies with law. You are responsible for properly packaging and shipping items you sell.

5. Prohibited items and conduct

No non-skydiving items, stolen or counterfeit gear, items you don't own or may not lawfully sell, or misrepresented items. Do not harass or defraud users, post false or infringing content, move transactions off-platform to avoid fees or protections, scrape, or interfere with the Service. We may remove listings, gate purchases (e.g., seller approval on high-performance canopies), limit features, or suspend accounts to enforce these Terms or protect users.

6. Stolen or fraudulent gear

Sellers are encouraged to provide serial numbers. We may record serials, remove or flag listings, share information with affected parties or law enforcement, and cooperate with investigations. Freefall Marketplace does not guarantee any item is free of theft, liens, or prior claims.

7. Find a Rigger directory

Riggers listed in the directory are independent third parties, not employees or agents of Freefall Marketplace. A “verified” badge or rating reflects only a limited check and is not a guarantee of a rigger's credentials, skill, insurance, or work. Any engagement is solely between you and the rigger, and Freefall Marketplace is not responsible for their services. Confirm a rigger's certification yourself before hiring them.

8. Verification and trust features

Identity checks, USPA verification, reviews, ratings, and trust badges are provided on a best-effort basis and are not guaranteesof any user's identity, qualifications, honesty, or the safety of a transaction.

9. Fees and taxes

Buyers pay the listing price plus any shipping shown at checkout. Sellers pay a platform fee deducted from their payout, shown before a sale completes and locked in at the time of sale. Fees and promotions may change prospectively, never retroactively for a sale in progress. You are responsible for any taxes on your transactions.

10. Payments, escrow, and release

Payments are processed by Stripe. Funds are held in escrow by Freefall Marketplace. After delivery, the buyer has an inspection window to accept the item or open a dispute. The window is 3 days for most gear, and 7 days for life-critical gear — main canopies, reserve canopies, containers/harnesses, AADs, and any complete or partial rig containing them — so the buyer has time to have it inspected by a rigger. The window may be extended by agreement. On acceptance — or if the window lapses — funds (less the platform fee) release to the seller. A seller may cancel before shipping, refunding the buyer.

11. Shipping, insurance, and risk of loss

Listings may offer platform-managed shipping, seller-managed shipping, free shipping (absorbed by the seller), or local pickup. Managed labels and tracking come through a third-party provider; delivery estimates begin when the seller ships.

Only platform-managed shipping is insured. Seller-managed shipping and local pickup are not. If a seller buys their own label or hands the item over in person, Freefall Marketplace has no shipment, no policy, and no claim to file. If such a package is lost or destroyed, we cannot make an insurance claim and we will not pay the seller for it. Any coverage the seller buys from a carrier directly is a matter between the seller and that carrier. Escrow and the dispute process still apply, but they cannot replace a package that no longer exists.

Insurance on managed shipments. Every platform-managed shipment is automatically insured for the item price plus the shipping cost. Freefall Marketplace purchases the shipping label and the insurance, and is the policyholder and the party entitled to file and be paid on any claim. Insurance rides with shipping: where the buyer pays for shipping, the premium is charged to the buyer at checkout as a reimbursement of our cost; where the seller has offered free shipping, the seller absorbs the premium along with the label cost. Paying that premium does not make the payer the policyholder or give them a direct right of claim against the insurer.

Signature on delivery. Managed shipments of items at or above $500 require a signature at delivery, and items at or above $2,000 require an adult signature. This protects both sides: it is what allows a genuine loss to be told apart from a delivered package.

Lost packages, and how we pay.If a platform-managed package is accepted by the carrier and never delivered, the buyer is refunded in full from escrow. Rather than make the seller wait for the carrier's insurance process — which can take four to six weeks — Freefall Marketplace may, at its discretion, advance the seller their payout from its own funds and pursue the insurance claim itself.

No double recovery; assignment; cooperation. If Freefall Marketplace advances a seller their payout for a lost or damaged shipment before the insurance claim is resolved, then, up to the amount we advanced: (a) the seller will not separately file, pursue, settle, or accept payment on a claim against the carrier or insurer for that same shipment; (b) the seller assigns to Freefall Marketplace any rights they may have arising from the loss, including as consignor; (c) if the seller nonetheless receives any payment for that loss, they will promptly remit it to us; and (d) the buyer and seller will each provide reasonable cooperation — including documentation, order records, and written statements — so that we can pursue the claim, since insurers require evidence from the parties to the shipment.

Advancing funds is discretionary and is not an insurance product, not a guarantee, and does not make Freefall Marketplace an insurer. Carrier claim outcomes are the carrier's and are not guaranteed by us.

12. Disputes between users

If an item arrives not as described, damaged, or not at all, the buyer may open a dispute during the acceptance window. The seller has 48 hours to respond; if they don't, the dispute may resolve in the buyer's favor. Freefall Marketplace reviews contested disputes and its resolution is final for the on-platform escrow. This process doesn't limit legal rights you may have against the other party or make Freefall Marketplace a party to the transaction.

13. Your content

You keep ownership of listings, photos, and reviews you submit, and grant Freefall Marketplace a worldwide, non-exclusive, royalty-free license to host, display, and distribute them to operate and promote the Service. You represent you have the rights to grant this license.

14. Intellectual property

The Service, its software, design, and the Freefall Marketplace name and logos are owned by Freefall Marketplace LLC. You get a limited, revocable, non-transferable license to use the Service for its intended purpose only.

15. Disclaimers

THE SERVICE AND ALL ITEMS, CONTENT, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE AIRWORTHINESS, SAFETY, CONDITION, OR LEGALITY OF ANY EQUIPMENT.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREEFALL AND [LEGAL ENTITY] AND THEIR OWNERS, OFFICERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR PERSONAL INJURY OR DEATH, LOST PROFITS, OR LOSS OF DATA, ARISING FROM THE SERVICE OR ANY EQUIPMENT BOUGHT OR SOLD THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE FEES YOU PAID FREEFALL IN THE PRIOR 12 MONTHS OR USD $100.

17. Indemnification

You agree to indemnify and hold harmless Freefall Marketplace, [LEGAL ENTITY], and their owners, officers, and affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your transactions, your equipment, or your violation of these Terms or law.

18. Suspension and termination

You may stop using the Service anytime. We may suspend or terminate access at our discretion, including for violations or risk to others. Sections that should survive termination (including 3, 6, 13–17, and 19) survive.

19. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming. Any dispute between you and Freefall Marketplace will be resolved by binding individual arbitration in [STATE/VENUE], and you and Freefall Marketplace waive the right to a jury trial and to participate in a class action. (Final arbitration terms to be confirmed with counsel.)
